1. Introduction

http://www.ticketabc.com is an online resource for promoters, venues, sports organisations, bands or others organisations or individuals organising, hosting or promoting sporting, music or other entertainment events (each an “Event Partner”) to sell and distribute tickets for their own events. http://www.ticketabc.com and the facilities, services and materials available thereon (the "Website") is owned and operated by Ticket Text Limited trading as Ticket ABC ("Ticket ABC") an Irish registered company, number 419225, having its registered office at “The Gables”, Torquay Road, Dublin 18, Ireland.  For the purpose of these terms and conditions "we", "our" and "us" refers to Ticket ABC.

These terms of use (the “Terms”) govern your use of any Event Partner’s website using Ticket ABC, your use of any services offered from time to time by any Event Partner or Ticket ABC and your relationship with the Event Partner or Ticket ABC.  Please read them carefully as they affect your rights and liabilities under the law. 

By registering on the Website or using any services we offer through the Website, you are agreeing to be bound by these Terms and to comply with these Terms and all applicable laws and regulations governing the Website.  If you violate these Terms, Ticket ABC may terminate your use of the Website, bar you from future use of the Website, cancel any outstanding orders and take appropriate legal action against you.

If you do not agree to the Terms, please do not register for or use the Website.  If you have any queries about these Terms, please get in touch with us using by sending an email to info@ticketabc.com and we will do our best to answer your questions.

2.       Amendments

We reserve the right in our sole discretion to change, modify or otherwise update these Terms from time to time.  Any changes will be notified to you through an appropriate notice on the Website.  These changes will apply to the use of the Website after we have given notice.  If you do not wish to accept the modified Terms you should not continue to use the Website.  If you continue to use the Website after the date on which the modification comes into effect, your use of the Website will deem your agreement to be bound by the modified Terms.

3.       Registration

In order to access any of the products or services provided by Ticket ABC through the Website, including our ticketing service, you must register on the Website. When you register, you agree to (i) indicate your acceptance of these Terms and (ii) provide true, accurate, current and complete information about yourself.  You further agree to maintain and properly update your registration data to keep it true, accurate, current and complete.  If we have reasonable grounds to suspect that any information is untrue, inaccurate or not current or complete, we have the right to suspend or terminate your registration. By your registration and use of the Website, you represent and warrant that you have the capacity to understand, agree to and comply with these Terms and that your use of the Website does not violate any applicable laws.  If you are aged 16 or under, you must get your parent or guardian's permission before you register with or access the Website or use any of the services provided through the Website and, in particular, before you provide any personal information to us. We reserve the right in our sole discretion to deny users access to our Website or any part thereof without notice and to decline to provide the service to any user that is in breach of these Terms.

4.       Password and security

When you register to use the Website you will be asked to create a password.  In order to prevent fraud, you agree to keep this password confidential and not to disclose it or share it with anyone. Each user is solely responsible for any and all activity in their account.  Please notify Ticket ABC immediately if you think there may be unauthorised use of your account or access to your password.  It is not permitted to use the account, username, or password of another user at any time. If Ticket ABC has reason to believe that there is likely to be a breach of security or misuse of the Website, we may require you to change your password or we may suspend your account.

5.       Use of the Website

You agree that you may access the Website for personal use only.  You may not use any area of the Website for any commercial purposes such as to sell products or services of any kind.  Our prior written consent is required for any commercial offers, e.g., any advertising, marketing or similar communication.  Reselling of any products or services is also prohibited, including by way of links to other websites.  We will investigate any alleged violation of this provision and, where appropriate, remove any prohibited communication from the Website, ban those responsible from using the Website in the future and, if necessary, take legal action. Any attempt to interfere with the proper operation of the Website, in particular, through use of spamming, viruses or similar technology, is absolutely prohibited.  In addition, it is not permitted to use the Website in such a way as to overload unreasonably our infrastructure.  We will take action to combat any excessive use.

6.       Ownership Rights

All content on the Website including, without limitation, all data, text, software, music, sound, photographs, graphics, video, messages or any other works of authorship (collectively, "Content") are protected by various copyright, trademarks, and other intellectual property rights.  The Website contains Content generated by Ticket ABC   and by certain third parties, such as advertisers, promoters and venues.

You are not permitted to copy, modify, publish, transmit or sell any Content in any form or by any means (or otherwise interfere with any intellectual property rights) without the prior written permission of Ticket ABCTicket ABC grants a limited licence to those eligible to use the Website to display, download and, where necessary, reproduce any Content solely in order to make personal use of the Website subject to these Terms.  You may retrieve and display such Content on the Website on a computer screen, store such Content in electronic form on disk (but not on a server or other storage device connected to a network) or print one copy of such Content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices.  You may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, upload or sell any Content appearing on the Website.  This licence does not cover Content consisting of software code or the use of data gathering or extraction technologies or methods.  You acknowledge that it is strictly prohibited to use the Website or any Content beyond the specific terms of the licence granted herein, without the prior written permission of Ticket ABC.  These Terms do not grant to you any other express or implied rights under any of our copyrights, trademarks or other intellectual property rights.  Any use that breaches these Terms may terminate this licence and may also violate applicable intellectual property or other laws.  The licence granted hereby is revocable at any time in our sole discretion without notice.

7.       Trademarks

All trade marks, brand names, product names and titles and copyrights used in this site are trade marks, brand names, product names or copyrights of their respective holders.  No permission is given by Ticket ABC in respect of the use of any of them and such use may constitute an infringement of the holder’s rights.  Ticket ABC's trademarks may be used publicly only with the written permission of Ticket ABC.

8.       Ticketing – Terms of Purchase

Your purchase of tickets through the Website is subject to the additional terms and conditions set forth in this paragraph (“Ticket Terms”).  By ordering tickets you confirm that you have read and accepted the Terms, including, without limitation, the Ticket Terms in their entirety.

a.      Age restrictions

In order to make any purchase of tickets you must be over 18 years old and otherwise have the legal capacity to make the transaction.

b.      Payment

We use industry standard encryption software and a secure server to ensure the safety of your information when you make purchases on our Website.  When you use secure pages to order tickets, the personal or financial information you submit will not be accessible to third parties.  Please ensure that you only send your credit or debit card details when specifically requested to do so on the Website and never send such details by standard e-mail.  You represent and warrant that the credit or debit card you are using is your own and that you have sufficient funds to cover the cost of the tickets.

c.       E-ticket Delivery

Delivery of tickets will be made both by e-mail to the e-mail address and also, in some cases, via SMS text to the mobile telephone number you have indicated during registration or such other delivery details as you provide during the purchasing process.

While we make every effort to deliver your tickets as agreed, we will not be liable if we fail to do so in part or in full due to circumstances beyond our reasonable control. Where we are unable to deliver your tickets through no fault of our own, we reserve the right to cancel the ticket order. For example, it is your responsibility to ensure that, at the time the tickets are distributed by us, your mobile telephone and e-mail address are capable of receiving our communications and you are capable of displaying or printing your ticket. Customers should on all occasions bring the print at home copy of their ticket.

It is the responsibility of the customer to update their registration information, both before and after the receipt of tickets. Customers are advised to check their purchase upon receipt.

d.       Postal Ticket Delivery and Collection

For some events the promoter may chose to send out the tickets by post. This will be stated clearly during the purchase flow of the event. Our intention is to make sure that tickets are dispatched promptly after booking. Note that in most cases tickets will be dispatched in the 2 weeks leading up to the event.  In some cases (out of our control) we might also make tickets directly available for collection at the venue instead of posting them.  Tickets are available for collection at the venue when and if:

  • Tickets are lost in the post.
  • Tickets are bought within 11 days of the event taking place.
  • Posting is impractical due to the proximity of the event or the situation for dispatching them has changed.
  • Identification is necessary to pick up the tickets and to enter the show.
  • Tickets were returned to us marked "addressee unknown".

Under all the circumstances mentioned above (and not only) all customers will be notified by email, using the email that was registered at the time of the purchase. Customers are responsible for providing correct address/postal information, email address and/or any form of contact details. Ticket ABC will take no liability for any ticket lost or miscommunication due to any incorrect information provided.

We cannot usually specify the dates or time on which you will receive tickets. Please inform us within reasonable time of your non-receipt of the tickets (3 days before the event). Failing to do so will not result in us having any liability to you.

Customers are invited to track and confirm the whereabouts of the tickets once these have been dispatched and/or to inform us of any non-receipt of the ticket within reasonable time (as stated above) before the event takes place. We will then do our outmost to be able to trace, help or make the tickets available for collection at the venue (where possible).

Every effort will be made to refund any situation outside of the above.

e.      Our Event Partners

Ticket ABC is a software platform for promoters, venues, sports organisations, bands or others organisations or individuals organising, hosting or promoting sporting, music or other entertainment events (each an “Event Partner”) to sell and distribute tickets.   

All tickets are sold subject to the additional terms and conditions of each venue and Event Partner relating to its event, including, without limitation, any statutes, rules, regulations or safety announcements governing the venue for the event. Should you require any further details, please contact the Event Partner directly or look for full details at the venue box office. As a software platform, we have no contractual liability to you in respect of the event itself. For example, we do not set ticket prices or determine seat locations. Any queries, concerns or complaints relating to the event itself should be addressed to the relevant Event Partner.

By placing an order for tickets, you consent to us passing on essential booking details, including your email address and phone number, to the relevant Event Partner, subject to the terms of our privacy statement.

f.      Exchanges and Refunds

You agree that we have no obligation to transfer, exchange, refund, return, or re-issue tickets after a purchase has been made, even in the case of lost, stolen, deleted, damaged or destroyed tickets. It is the Event Partner’s responsibility to notify you if an event is cancelled, moved to another date, or details are materially changed after an order is accepted.  A change of venue or date would constitute a material change.  In absence of any negligence or other breach of duty by the Event Partner, you will be responsible for any loss, theft or damage to your tickets.  In the event your ticket is deleted, lost, stolen, damaged or otherwise rendered unusable, please re-issue your tickets in the “Manage My Account” section of the website.

g.        Changes and Cancellations

If the Event Partner makes any decisions on cancellations, changes and postponements, Ticket ABC may not be held responsible for any such cancellations, changes or postponements. Please check in advance of your event whether it has been cancelled or rescheduled. You may be entitled to a full refund from the Event Partner of the face value of each ticket plus any applicable booking fee for any cancellation, postponement or other material change in the subject matter of the ticket contract. You acknowledge that where there is an event or circumstance beyond its reasonable control the Event Partner may be forced to change material details of the event without having to provide refunds or exchange tickets.

h.      Admission to an Event

Each barcode ticket is valid for one admission only.  It is your responsibility to read all of the information that applies to the event that you are planning to attend and to carry proof of age and identity if appropriate.

The Event Partner may reserve the right to refuse you admission, eject you from the venue or deny you re-admission if you leave the venue under its own terms and conditions.

i.      Multiple Ticket Purchases

For certain events, the Event Partner may restrict the number of tickets that each person can buy or that can be booked with each credit card.  This will be clearly noted on the relevant webpage.  The Event Partner may do this to try to prevent touting and other negative practices.  In such circumstances, it will not be possible to order more tickets than the maximum number allowed.

j.        Use and Ownership of Tickets

It is your sole responsibility to retain, preserve and protect your electronic ticket.  Please do not forward the SMS text or e-mail containing the barcode tickets to any other person or attempt in any way to copy the barcode.  In such circumstances, we reserve the right to cancel your ticket and, in any event, we are not responsible in any way for any failure by you to gain access to the event arising out of your unauthorised forwarding or copying of the ticket.

A customer may not buy, resell or otherwise transfer tickets for profit or other commercial benefit.  If a customer’s ticket is so sold or transferred it will become voidable and the new ticket holder may be refused admission or ejected from a venue.  We also have the right to cancel any tickets advertised or marketed in any way with a view to such a sale.  We may also take legal action against those engaged in such activity, where appropriate.

Using the Website and our ticketing platform to engage in ticket touting is strictly prohibited.  We may, in our sole discretion, ban any user and cancel their outstanding orders if we reasonably believe them to be connected with such activity.

9.       Prohibited Conduct

You agree that you will not use any part of our Website to engage in conduct prohibited by these Terms or by applicable laws and regulations.  The following is a non-exclusive list of the kind of activity that is prohibited on the Website:

(i) using any device, technology or manual process to monitor or copy our web pages or the Content contained thereon or for any other unauthorised purpose without our prior expressed written permission;

(ii) impersonating any person or entity, falsely stating or otherwise misrepresenting your affiliation with a person or entity or disguising the origin of any Content;

(iii) selling or otherwise transferring your profile;

(iv) interfering with any other person’s use or enjoyment of the Website;

(v) interfering with, disrupting, or creating an undue burden on Ticket ABC , the Event Partner or the networks or services connected to Ticket ABC ; or

(vi) encouraging conduct that constitutes a criminal offence or otherwise violating any applicable national or international laws, regulations or codes of practice.

You will be responsible for our losses and costs resulting from your breach of this provision.

10.   Sanctions

As soon as we are made aware of activities that breach these Terms or our privacy statement, prompt action will be taken.  We and the Event Partner reserve the right to take whatever action is deemed necessary to prevent such breaches.  All incidents will be logged and our decision is final in all such cases.

We or the Event Partner may ban, delete or prohibit any Content that relates to those breaches or that we judge harmful to individuals or the rights of Ticket ABC or any of our users, affiliates, licensors or partners.  In addition, we may at any time modify or remove any Content, suspend or cancel your registration, cancel any outstanding orders or take further legal action as a result of breaches or suspected breaches of these Terms, our privacy statement, any applicable laws or regulations or where our rights or third party rights are threatened or infringed.  Any breaches may lead to us reporting your activities to your internet service provider, your employer or relevant authorities.  Where appropriate, we may seek civil, criminal or injunctive redress.  The suspension or cancellation of your registration and your right to use the Website shall not affect either party’s statutory rights or liabilities. 

11.   Indemnity

You agree to indemnify and hold us and our subsidiaries, Event Partners, affiliates, employees, officers, agents or partners harmless from and against any direct or indirect loss or damage (including consequential loss and loss of profits, goodwill or business opportunities arising from any third party claim in relation to your use of the Website in general, including your use of the Website to provide a link to another website or (iii) your breach of these Terms.

12.   Disclaimers

Although we and the Event Partner aim to offer you the best service possible, we make no promise that the services of the Website will meet your requirements.  The Website and its Content are delivered on an “as-is” and “as-available” basis.  We make no representations or warranties of any kind with respect to this Website, its Content (including any services provided through the Website) and disclaim all such representations and warranties. 

We are in no way liable for the acts, omissions and conduct of any third parties, Ticket ABC users, Event Partners or other third parties on the Website or in connection with the services provided. We also bear no responsibility for any products or services (or any actions or omissions in connection therewith) of any Event Partner or other third party provided in connection with or cited on the Website.  

You download Content from the Website at your own risk.  Ticket ABC cannot guarantee that files or other Content you download will not cause any loss or damage to you or your computer, for example, because of viruses, trackers or other contamination.  We also bear no responsibility for any difficulties you experience in using the Website through any third party technical problems including, without limitation, problems connected with the telephone network, any computer systems, hardware or software, internet service providers, or the Internet itself.  We cannot promise that users will always be able to communicate effectively with each other on the Website; technical malfunctions or third party interference, for example, may cause delays, defects or other problems.  We assume no responsibility for any loss or damage as a result of such problems.

13.   Limitation of Liability

The liability of Ticket ABC and any Event Partner or venue with respect to any tickets sold through the Website shall be limited to the face value of such tickets plus any fees paid. 

To the extent permitted by law, we exclude all liability (whether arising in contract, tort or otherwise and whether or not due to our negligence) which we may otherwise have to you as a result of (i) any technical, factual or typographical inaccuracies, errors or omissions on or relating to our site or any information on our site; (ii) the unavailability of our Website (or any part of it), products or services; (iii) any delay in providing, or failure to provide or make available, products or services or any negligent provision of products or services; (iv) any misrepresentation on or relating to our site, the products or services (other than a fraudulent misrepresentation made by us or on our behalf).

Neither Ticket ABC or any Event Partner’s directors, employees or other representatives will be liable for loss or damage arising out of or in connection with the use of this Website.  This is a comprehensive limitation of liability that applies to all damages of any kind including, without limitation, compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties.

You agree that each of these restrictions or limitations set forth in these Terms is reasonable having regard to the nature of our Website.  Each of these restrictions or limitations shall be construed as a separate and severable provision of these Terms.

If we are in breach of these Terms, we will only be responsible for any losses you suffer as a result to the extent that they are a foreseeable consequence to both of us at the time you use the Website.  Our liability shall not in any event include business losses such as lost data, lost profits or business interruption. 

None of the limitations in this section shall exclude or restrict our liability for death or personal injury caused by our negligence.  None of the above exclusions shall affect any statutory rights which are not capable of being excluded. 

14.   Third Party Websites and Content

Ticket ABC may contain links to other websites as well as content from other websites or originating from third parties (including advertising and sponsorship material of Event Partners).  While Ticket ABC tries to ensure that material included on the Website is correct, reputable and of high quality, it does not make any warranties or guarantees with respect to any third party content included on the Website or content on any website outside the Website.  We advise that you consult the applicable terms and conditions and policies of any website you link to from our Website.  You agree and understand that you may not make any claim against Ticket ABC for any damages or losses, whatsoever, resulting from your use of any Event Partner or third party Content or your use of the Website to link to another site.

If you have a problem with a link from the Website, please notify the Event Partner so that they can investigate and take any actions we deem appropriate in our sole discretion.

15.   General jurisdiction

We make no promise that the materials on the Website are appropriate or available for use in locations outside the countries of the European Union, or Norway, Iceland or Liechtenstein, and accessing the Website from territories where its contents are illegal or unlawful is prohibited.  If you choose to access the Website from elsewhere, you do so on your own initiative and are responsible for compliance with local laws.

16.   Events beyond our control (Force majeure)

We or the Event Partner shall have no liability to you for any failure to deliver tickets, products or services you have ordered or any delay in doing so or for any defect to tickets, services or products delivered that is caused by any event or circumstance beyond our reasonable control, including, without limitation, strikes, lock-outs and other industrial disputes, breakdown of systems or network access, flood, fire, explosion, accident or terrorist attack.

17.   Invalidity

If any part of these Terms is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these conditions will not be affected.  The failure of Ticket ABC or the Event Partner to exercise or enforce any right or provision hereof shall not operate as a waiver of such right or provision.

18.   Privacy

You acknowledge and agree to be bound by the terms of our privacy statement, which is incorporated into these Terms by reference.

19.   Term and Termination.

You will remain subject to these Terms, which remain in full force and effect, while you use the Website or are registered with Ticket ABC.  You may terminate your registration at any time, for any reason by contacting the Event Partner.  Ticket ABC or the Event Partner may also, in its sole discretion and at any time, discontinue temporarily or permanently your registration with the Website.  When your registration is terminated your profile and personal information will be removed from view.  If you are not registered, you will be unable to access the services provided through the Website.  Our proprietary rights, disclaimer of warranties, indemnities, limitation of liability and certain miscellaneous provisions shall survive any termination of your registration.

20.   Governing law and jurisdiction

The contract between us, which includes, without limitation, these Terms and our privacy statement, and any dispute, controversy, proceedings or claim of whatever nature arising out of or in any way relating to them or their formation shall be governed by and interpreted in accordance with Irish law and, for these purposes, the parties irrevocably submit to the jurisdiction of the Irish courts.

21.   Notices

Unless otherwise expressly stated in these Terms, all notices from you to us must be in writing and sent to our registered address and all notices from us to you will be displayed on our Website from time to time or sent to you by post, e-mail or SMS in appropriate cases.
